International Corporate Governance: A Comparative Analysis of Corporate Governance Models and Emerging Markets

‘Corporate governance has become one of the most commonly usephrases in the current global business vocabulary  but what exactly does it mean? The UK Corporate Governance code explains that it is ‘what the board of a company does and how it sets the values of the company and is to be distinguished from the day to day operational management of the company by full-time executives’ Its purpose is ‘to facilitate effective entrepreneurial and prudent management that can deliver the long-term success of the company’ 
Therefore in basic terms corporate governance is the manner in which a corporate company is controlled.
This essay will examine the different models of corporate governance including its history, the fundamental principles and current issues of the differing corporate governance structures. It will thecompare the Anglo-US model with that of the emerging Eastern Europe market, mainly focusing on that of Russia as reform of the Russian Corporate Governance Code is currently underway due to the privatisation of many major Russian corporations.

Brittain boosts women bosses

ONE of the UK stock market’s biggest investors has renewed its calls for greater gender diversity in boardrooms as the FTSE 100 gained its sixth female chief executive with Alison Brittain becoming the new boss of Whitbread.

Legal & General Investment Management, which looks after £736billion on behalf of clients including over 3,000 of the UK’s biggest pension funds, said it would vote against the chairman of companies if it believes they are failing to heed calls for more women directors.

Top FTSE 100 investor: board pay must be in line with workforce

While base salaries often represent a small part of executives’ rewards, most bonus plans are set at a multiple of salary

One of Britain’s biggest investors has used its annual governance report to urge companies to stop executive salary increases getting out of proportion with pay deals handed to their wider workforces.

Sacha Sadan, director of corporate governance at Legal & General Investment Management (LGIM), said high levels of executive pay “quite rightly remain a burning issue with the media and the British public”.

Corporate governance: Board responsibilities – CP18/15

The PRA has published Consultation Paper 18/5: Corporate governance: Board responsibilities (CP18/15). CP18/15 is relevant to all PRA-regulated firms and seeks views on a draft supervisory statement which identifies some key aspects of good board governance to which the PRA attaches particular importance in the conduct of its supervision. However, the supervisory statement is not intended to be a comprehensive guide to good corporate governance and there are other sources including the Financial Reporting Council’s Corporate Governance Code.

IIA backs greater governance call from PRA’s Bailey
